The Government Takes a Tin Mine
Readers:There has been a good deal of international interest over the past week in the action by the Morales government on February 9th to “nationalize” the Swiss-owned Bolivian Vinto tin mine. It is the latest episode dealing with the intention of the government to recover Bolivia’s resources for the country, and what effect that will have on foreign investment.
The Vinto mine issue is not one that The Democracy Center has researched (as opposed to gas nationalization, for example) so we haven’t written on it. However, for those readers interested, here is an article on the issue written by a Bolivia-based correspondent for The Economist, which seems like a fair discussion of the issues.

The political vendetta behind another nationalisation
IT IS becoming a familiar ritual. On February 9th Evo Morales, Bolivia's socialist president, flanked by troops, stood in front of the Vinto tin smelter and declared it nationalised. Last May he did the same to his country's natural-gas industry. In October he said it was the turn of mining. Yet with Mr Morales, whose rallying cry is “Bolivian resources for the Bolivian people”, sometimes the symbolism and the rhetoric is more ambitious than the reality.
So it was with natural gas, where he later signed new, tougher contracts with multinationals. The threat to nationalise mining quickly changed to a proposal to raise taxes on private mining companies. And even that was watered down after 20,000 members of mining co-operatives marched on La Paz earlier this month.
Vinto, officials claim, is a special case. “It's about righting a wrong,” says Guillermo Dalence, the mining minister. “The plant was taken from the Bolivian people fraudulently and we are reclaiming it.”
The smelter has a controversial history. Built by a military government, it was privatised in 1999. The buyer was Allied Deals, a British outfit later liquidated after its directors were charged with fraud over an unrelated scam in the metals market.
Goni is a hate figure in Bolivia today. That is partly because 67 people were killed when he called out the army against the protests in 2003. The government is backing moves to extradite him from the United States to face a trial which the former president's lawyers say is politically motivated. But Goni is also hated because he oversaw the privatisations that Mr Morales is now trying to reverse.
In 2005 Goni sold Comsur's Bolivian assets (which included several mines) to Glencore, a mining company based in Switzerland. The price was not disclosed, but it was said to be $220m, of which $90m was said to be for the smelter. According to one well-placed source, a side-letter required Comsur to repay Glencore in the case of nationalisation.
Since the world tin price was very low when Vinto was privatised, and the smelter had lost money in state hands, it is far from clear that Bolivia was swindled. The tin price has since risen sharply, reaching its highest level since 1985 this week. So in addition to targeting Goni, the nationalisation may boost government revenues.
Glencore is demanding compensation for the smelter. It says the seizure violates a 1991 bilateral investment treaty between Bolivia and Switzerland. The government says it, too, will seek compensation in any international arbitration. It claims that Glencore did not register the purchase in Bolivia and, somewhat improbably, that the smelter was worth $140m when it was privatised. “All foreign companies that operate within the legal framework have our guarantee that they won't be touched,” says Mr Dalence. Investors may not be wholly reassured.

On Bolivia_Llajta@yahoogroups.com, we discussed that article. Here was an astute observation and the post to which it responded in that thread:
'The article's key words are "companies operating legally and in good faith" have nothing to fear, this something that Evo has been saying from the very beginning of his Administration. Similarly, about the latifundios if their owners have clear title and their operations serve the common good (not used purely for speculative purposes,) they will not be expropriated. In view of that, private investments are up, in the mining industry, as the article suggests. And, we expect, this year, a big increase of private investments in the agricultural sector as well; another key economic factor is the dramatic increase in the creation of small businesses, particularly in La Paz. Thanks for pointing out this article, it give us a better perpective of our economic future than what "los lambe ... dulces" nos desean.

Unfortunately, "companies operating legally and in good faith" is a statement that has very few parameters. In all honesty, how hard is it for a government such as Evo’s to claim a company is not operating in “good faith” in order to reclaim it for the people? I know this and many potential foreign investors know this as well. Evo should stick to a more investor friendly approach at rebuilding Bolivia’s assets. Yes, it will take more time but, as my pappy used to say, “Things that are worth doing, are worth doing right.”
Quick correction: the issue is over a smelter not a mine (which I hope doesn't come across as pedantry as they are actually different things).
Second this smelter *was* stolen from the Bolivian state by a corrupt former president who is now in hiding procted by the US... it's perfectly reasonable for the government to take back what it rightfully owns and the company should sue Goni for selling them something that wasn't his not whine about the government.
Third: the Morales government is doing a sight better at attracting investment than his predecessors were - although there are of course some companies that are unhappy eg the ones that now have to pay a reasonable rate of taxation.
So what's the moral to the smelter (and gas, and, etc.) stories? If you're a foreign investor, don't trust Bolivia, and for sure, don't trust Morales or buy anything from him; his successor will simply pull the same stunt....

The reason nationalization is occurring so much now in Latin America is because companies never considered the extent of the legitimacy of the governments they were dealing with. International businesses simply think they are sacredly protected by the World Bank courts and the WTO. But they don’t realize that when they make deals with governments on goods and services that affect all the people of a country, they are really making a deal with the people. If a government is democratically elected and legitimate, meaning it won’t pull some crazy stunt like trying to sell natural gas to the nation’s historic enemies (Chile), the deal is more likely to stick. If a business deal seems to good to be true, it probably is and international business standards need to live up to the moral and ethnical standards that popular politics sometimes hits.
The idea of compensation, however, is an under-contemplated topic. Perhaps, though, it should be the World Bank and alike who compensate Glencore, etc. After all, they were the ones who used so much money in loans to push for privatization in the first place. If the World Bank’s goals are really to help out developing economies, then it should help Bolivia make these few nationalizations, moves that are by all accounts other than strictest of neoliberals seen as good for the Bolivian economy. The Bank’s compensation would take responsibility for pushing such rash changes when only dealing with illegitimate governments. If the Bank doesn’t its legitimacy within the international business community will be lowered as it has been through its dealings with Bolivian popular movements.
Nationalization and expropriation is a result of a faulty system that assumed the legitimacy of governments. Businesses need to make deals with people, not those elected through oligopolous democracies, and certainly not with institutions controlled by only a few of these similarly illegitimate governments. This is a ladder of power and those at the bottom have decided to start pulling out the steps.
I havent got much time so I cant write anything of any length at the moment. However, there is an important correction I have to make to a lot of the comments being posted recently. Goni did not privatize Vinto, which someone earlier was quite corect in saying is a smelter and not a mine. The Vinto smelter was privatized in 1999 by the right wing Banzer regime and sold to Allied Deals. Comsur, Goni´s company, later bought the smelter from Allied Deals. Therefore all this talk about how nationalizing Vinto is ok because it was privatized by Goni has a MAJOR flaw. It was privatized by BANZER.
Ben Sacks, much for the same reasons that communism is/was flawed (good in theory, bad in reality), your argument is fraught with ideology that doesn’t really play out as well in the real world as it does on paper (or virtual paper in this case). Back to the drawing board my friend.
To clarify further the history of the Vinto smelter, yes, indeed, it was privatized by the (elected) Banzer government. When Allied Deals (later known as RBG) went bust, the liquidators (Grant Thornton) sold off some of its Bolivian assets, including Vinto, to COMSUR, the company owned by Sánchez de Lozada. After Goni´s fall from grace, he sold off COMSUR to Glencore.
Glencore is a privately-owned company based in Switzerland. Its history, and that of its founder Marc Rich, make interesting reading.
This might grab the attention of the international community enough to send Goni back to Bolivia for a public hanging, villa pagador style.
To add a bit more to the Vinto plant’s history, some of the “facts” as far as I’ve been able to ascertain them (it’s not easy, there’s a lot of obvious errors not to mention spinning from all sides on the web):
a. in 1999 Banzer’s government privatises Vinto selling it to Allied Deals (a UK company) for US$14,7 million. In this deal a controlling stake of the Huanuni mine is also sold to Allied Deals for US$500k.
b. Allied Deals cedes (or changes its razon social, it’s not clear to me which, were the shareholders of AD & RGB the same?) Vinto to RGB Resources Plc (an Anglo-Indian company) who in May 2002 go into liquidation.
c. Subsequently (in 2002 I think, possibly 2003?) Grant Thornton as liquidator of RGB then sells Vinto to Comsur (Goni) for US$6 million
d. in 2005 Comsur sells Vinto to Glencore for US$90 million
Now, to the allegations & other things I would feel less comfortable to call “facts”, simply because the info I’ve seen appears either not extensive enough, more contested, or I simply haven’t been able to “check” it enough to feel comfortable about it. You’ll notice more of this leans towards the Bolivian government’s stance. This is not because I’m trying to support their case, but simply because with Banzer, AD, RGB, Goni & Glencore all for their own reasons “unavailable for comment”, it’s rather difficult to convey their version of events. So, following the same a,b,c,d phases mentioned above:
a.
-the allegation is that Vinto was given away for free basically. Why? Because, according to the Bolivian authorities there were US$16 million of materials in the plant at the time of the sale. This is more than the price they paid for it, hence the argument that the plant was given away for free.
-the Bolivian government also alleges that they have no record of the compravendita to AD.
-the Bolivian government also alleges that there should have been a vote granting the permiso of the poder legislativo for this privatisation, but this vote was never made.
Regarding Huanuni, the Bolivian government alleges that there was a commitment by AD as part of the privatisation deal, & getting control of the mine for just half a million dollars, to invest US$10,25 million in the mine within 2 years. This was not maintained (versions vary as to whether they invested nothing or US$2,5 million).
b.
-the change from AD to RGB is alleged to have been in contravention of a clause in the sale to AD, which forbade any cession or change of company name by AD in the first 2/3 years after obtaining it.
-RGB’s liquidation was deemed fraudulent, the company went into liquidation with debts of US$450 million, & the directors were charged with conspiracy to defraud in the UK to the tune of US$300 million. Three directors of RGB were also found guilty in the US of fraud, sentenced to up to 5 years in prison & ordered to restitute US$680 million (!)
c.
-the appointment of Grant Thornton as liquidators of RGB was contested by the Bolivian government. I haven’t followed this bit well, but it appears that their allegations stem from their being unhappy that AD ceded Vinto to RGB, who should not have picked up Vinto, & who by all accounts appear to be a shady if not big-time trickster front company run by the Rastogi brothers (their ventures make real high finance scam reading, the events taking you through Iran, Romania, India, Dubai, US, tax havens all over the shop to name a few places).
-the Bolivian government also alleges that the acquisition by Goni (Comsur) from Grant Thornton was a somewhat shady deal arranged behind closed doors with the help of a couple of his lawyers in Bolivia.
d.
-the various issues of this phase are dealt with in the thread “Blind Economic Theology”. As this is at the heart of the issue now in contention (following Evo’s taking back of Vinto from Glencore) if you do have the time & interest have a look at it.
Following Estanislao’s & Threeshire’s correction that it was indeed Banzer who privatised Vinto, to take back a couple of comments I made in it, it would appear somewhat far-fetched to suggest that Goni organised the whole Vinto operation from start to finish. He came onto the scene later it seems.
This is the line that the Bolivian government is now trying to sell, but unless someone else can bring to light some startling new evidence don’t fall for it. Goni may have been guilty for some part of the affair, but not the whole shebang.
Anyhows, quite a story behind Vinto as you can see..

A couple of updates to the Vinto story you may be interested in.
Firstly, it appears that Goni himself made an offer for the smelter when it was initially privatized by Banzer’s government. His bid of US$10m though was beaten by Allied Deals’ offer of US$14 million, so he lost out on that occasion.

The source is Evo’s government, so not impartial, but that’s what it says. I’m sure someone will counter the affirmation if they know it’s unfounded..
Second, to clear up the somewhat murky Allied Deals/RGB phase these 2 companies were actually yes both run by the same people (basically a merry bunch of Anglo-Indians or Indians headed by the two Rastogi brothers Narenda & Viren, the latter being one of the wealthiest indian businessmen in the UK) & the scam they pulled (using Vinto amongst other assets & covers) was a MEGA one. To the happy (until they got bust) tune of over US$1 billion. Yup, that’s a b not an m.
Very briefly, what these guys did was set up Allied Deals as a metal tradings company & under this legitimate guise – with the help of more than a few shell companies, dud invoices & other paperwork - which presumably also explains the reason for Vinto passing hands from AD to RGB – managed to get some rather juicy loans from banks everywhere. Payup time came, these guys went missing, banks went mad looking for their willywonga… the rest is now history but ends with the clunk of jaildoors.
As far as Vinto goes it got sold by AD’s liquidators Grant Thornton to Comsur to recover something out of the ashes of AD. Kind of a paltry sum it would appear (US$6 million when it had been sold for more than double that to AD) but then again I guess that’s often the case when you’re liquidating.. yeah?...??...???

As you can see Glencore held 47% of Bolivia’s mining exports last year, making them number 1 player by a long way, & so big a player within Bolivia that they were number 2 exporter in Bolivia in absolute terms (after YPFB presumably).
Glencore’s mining interests in Bolivia used to be Goni’s, when added to the Don Mario mine which Goni also owned in Santa Cruz, that meant the ex-president had over half Bolivia’s mining exports in his hands, for trade worth US$550 million last year. Not bad huh?
As far as the Vinto nationalisation issue goes, the point to note is that the smelter (valuable though it is as the only plant in the country that can actually process the ore mined) is really rather small-fry in comparison with Glencore’s other interests in Bolivia.Which leads you to think that a deal between Glencore & Evo, with or without compensation, should be possible, if not likely.
Glencore’s slice of bread is buttered heavily on the other side…

Oops guys. Ignore my comment on the previous post that Vinto is small-fry compared with Glencore’s other interests in Bolivia. The error was based on my swapping around in my head their sales and profit. Vinto’s PROFIT (not SALES) was declared to be US$9m by Glencore (subsequently according to personnel at the plant estimated to be US$17m with Evo claiming US$20m profit should be attainable in the short-term). I don’t recall seeing any figures for Vinto sales turnover, one can assume (if it’s similar to other “normal” business profit margins of 5-10%) it is in the region of US$90m – 300m. Taking a simple half-way point of say US$200m that’s not an insignificant part of the US$503m that Glencore declared to be their exports in Bolivia.
Actually, looking at the numbers again from the Correo del Sur link, where you can see Glencore exported 126.000 of the total 480.000 tonnes exported in Bolivian minerals, that’s a share of 26%. Glencore’s real share though, in value terms, was 47%. That means the value extracted by Glencore for every tonne was nearly DOUBLE the rest of the market.
Now Glencore may well have richer than average mines in Bolivia, but I don’t think it’s too wild to guess that one of the reasons they can extract so much higher value than their competitors is the Vinto plant – which allows you to sell processed metals rather than just rocks. Much more profitable one can safely assume..
So I guess there could be a fight to come yet. Ouch!
